This End-User License Agreement ("Agreement") governs access to and use of the Swedlund's Lawn & Power Sports shop-management application (the "Application"). The Application is operated by Swedlund, Moscoa & Associates Inc., doing business as Swedlund's Lawn & Power Sports ("Swedlund's," "we," "us," or "our").
By accessing or using the Application, an authorized user accepts this Agreement. If the user does not have authority to accept it for the business, the user must not use the Application.
The Application is licensed, not sold, for internal shop-management and related business purposes. Authorized users may use it to manage customer records, equipment, work orders, schedules, diagnoses, estimates, invoices, payment records, repair projects, and connected accounting workflows that the Application makes available.
Access is limited to users whom Swedlund's authorizes. The Application is not offered as a consumer self-service account, public accounting service, or substitute for professional legal, tax, or financial advice.
Users are responsible for providing accurate information within the Application, using the Application only for legitimate shop purposes, and following the business's internal procedures. Users must not share access with an unauthorized person or use another person's credentials.
Users must protect their credentials and promptly notify Swedlund's if they believe an account or session has been accessed improperly. Swedlund's may require a user to re-authenticate or may suspend access when necessary to protect the Application, business records, or connected services.
The Application, its software, design, text, branding, and related materials are owned by Swedlund, Moscoa & Associates Inc. or their respective licensors. This Agreement grants no ownership interest and no right to copy, modify, distribute, reverse engineer, resell, or create derivative works from the Application except where applicable law does not permit that restriction.
Customer, equipment, work-order, invoice, payment, and other business data entered by or for the shop remains business data of the applicable owner. Users receive no right to use that data outside authorized business purposes.
The Application may contain customer contact information, equipment details, repair history, work orders, diagnoses, estimates, invoices, payment status, accounting references, attachments, and other normal shop-management records. Authorized users may access those records only as needed for their assigned work.
Swedlund's may process this information to operate the shop, communicate about service, maintain business records, provide customer support, and perform requested accounting synchronization. The Privacy Policy at /privacy describes the Application's information practices.
If an owner authorizes the QuickBooks Online integration, the Application may connect to the selected QuickBooks company through Intuit's authorization system. The integration is intended to synchronize applicable customer records, finalized invoices, and recorded payments with the shop's connected QuickBooks Online company.
QuickBooks Online and Intuit are third-party services. Their terms, policies, availability, features, and data handling apply separately. Swedlund's does not control Intuit's service and does not guarantee that a synchronization will be accepted, completed, or available at any particular time.
Disconnecting the integration prevents the Application from using the stored connection for new synchronization and removes the Application's locally stored QuickBooks authorization material. Records already sent to QuickBooks may remain in the QuickBooks company and must be managed there.
The Application may rely on third-party providers for services such as email delivery, media storage, analytics, and accounting integration. A provider may change, suspend, limit, or discontinue its service, and provider outages or network conditions may affect related functionality.
Local shop operations are intended to remain available independently of a QuickBooks synchronization result, but no uninterrupted or error-free availability is promised.
Users must not use the Application to violate law or another person's rights; access data without authorization; introduce malicious code; probe or disrupt systems; evade access controls; interfere with another user's access; scrape private records; misuse payment or accounting information; or use the Application to provide an unauthorized service to third parties.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE." SWEDLUND'S DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APPLICATION OR A THIRD-PARTY SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETE.
Users remain responsible for reviewing records, estimates, invoices, payment entries, and accounting results before relying on them. The Application does not provide legal, tax, accounting, or financial advice.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SWEDLUND, MOSCOA & ASSOCIATES INC. AND SWEDLUND'S LAWN & POWER SPORTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE APPLICATION OR A THIRD-PARTY SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR CLAIMS ARISING FROM THE APPLICATION WILL NOT EXCEED THE AMOUNT PAID, IF ANY, FOR THE APPLICATION DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limitations apply only to the extent permitted by applicable law.
To the extent permitted by law, the user agrees to defend and indemnify Swedlund, Moscoa & Associates Inc., Swedlund's Lawn & Power Sports, and their personnel against third-party claims, losses, liabilities, and expenses arising from the user's unauthorized use of the Application, violation of this Agreement, or violation of law or another person's rights.
Swedlund's may suspend or terminate access for a violation of this Agreement, misuse of records, a security concern, or when the shop no longer authorizes the user. A user may stop using the Application at any time. Sections concerning ownership, data, disclaimers, liability, indemnification, governing law, and any provisions that by their nature should continue will survive termination.
Swedlund's may update this Agreement when the Application, business practices, or legal requirements change. The updated version will be posted at /eula with a revised effective date. Continued use after an update becomes available constitutes acceptance to the extent permitted by law.
This Agreement is governed by the laws of the State of Minnesota, United States, without regard to conflict-of-law rules. Any dispute will be handled in a court with appropriate jurisdiction in Minnesota unless applicable law requires otherwise.
